JUS BEE TERMS AND CONDITIONS

The following terms and conditions apply to Jus Bee websitehttps://jusbee.app/ and all content, services and products available at or through the website around the world (the “Site”) and any related mobile or software applications by the name Jus Bee (the “Jus Bee App”). For the purpose of these Terms, Jus Bee and/or the Jus Bee App will be referred to as “Jus Bee”.

You, as the user of the Just Bee will be referred to throughout these Terms and Conditions with second-person pronouns such as You, Yours, or as User. For the purposes these Terms and Conditions, the term “User” or “You” shall mean any natural or legal person who is accessing Just Bee. The term “Users” shall be construed accordingly.

The services of Jus Bee is offered subject to your acceptance without modification of any of the terms and conditions contained herein (collectively, the “Terms and Conditions”). Please read these terms and conditions carefully before accessing or using Jus Bee. BY ACCESSING OR USING ANY PART OF JUS BEE, YOU AGREE TO BECOME BOUND BY ALL THE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, THEN PLEASE DO NOT USE JUS BEE..

Your use of the Jus Bee is at your own risk, including the risk that you might be exposed to content that is objectionable, or otherwise inappropriate. By visiting and usage of Jus Bee, you confirm that you are eligible to receive the services offered by Jus Bee.

Jus Bee is a technology platform which will enable you to have access to calming exercises and content, including but not limited to digital diary, meditation, yoga and pranayama, field recordings, relaxing noise, music, stories, poetry, singing, stress buster games, art, gardening.

As long as you comply with these Terms and Conditions, Jus Bee grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site/the App.

● Content on Jus Bee

“Content” (the “Content”) comprises of, without limitation, text, links, scripts, software code, reports of any kind, images, logos, trademarks, color schemes, layout, user interface, visual interface, design, and interactions offered by any of Jus Bee’s employees, officers, contractors, agents or others. Unless otherwise expressly noted on Jus Bee, Jus Bee reserves all rights, title and interest in and to the Content, including all related intellectual property rights. You understand that such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Jus Bee may modify or remove any Content on Jus Bee at any time for any reason. This Content is fully protected under the laws of copyright and trademark. Any unauthorized duplication, exhibition, distribution or other use of this Content, or any part thereof, without prior written consent of Jus Bee is strictly prohibited by law. Violators will be prosecuted to the maximum extent of the law.

The contents of Jus Bee are for your private use and informational or recreational purposes only. If you have a medical emergency or any other medical condition, do not rely on the Content to treat your condition; call your doctor or go to a hospital immediately. The Content is not intended to be medical advice and shall not be construed as such. Reliance on the Content or any other information provided by Jus Bee or any of its employees, officers, contractors, agents or others providing Content, verbally, via email, or in-person conversation is solely at your own risk. Jus Bee and the Content are provided on an “as is” basis.

● Translation of the Terms
Jus Bee may provide a translation of the English version of the Terms into other languages. You understand and agree that any translation of the Terms into other languages is only for your convenience and that the English version shall govern the terms of your relationship with Jus Bee. Furthermore, if there are any inconsistencies between the English version of the Terms and its translated version, the English version of the Terms shall prevail over others.

● Your Use of Jus Bee
You will not copy or create derivative works of Jus Bee or its Content. You will not reverse engineer or make any attempt to discover the source code of Jus Bee. You will not employ any device, software or routine which interferes or attempts to interfere with the operation of Jus Bee or attempts to monitor any portion of Jus Bee and/or its Content. You will not attempt to get access to any data or information through any means not explicitly and purposely made available through Jus Bee. You will not attempt to hack Jus Bee or check for security vulnerabilities of Jus Bee. You will not attempt to get access to account information that does not belong to you. You will not take any action that imposes unreasonable load on Jus Bee. You will not modify/remove/change information exchanged amongst various entities of Jus Bee for any reason.Violators will be prosecuted to the maximum extent of the law.

● Your Account on Jus Bee
Each account on the Jus Bee is for a single user only and is not transferable. You should not share or disclose your login credentials with any other user or person. Jus Bee may cancel or suspend your access to Jus Bee if you share your credentials.
If you create an account on Jus Bee, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify Jus Bee of any unauthorized usage of your account or any other breaches of security. Jus Bee will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. Furthermore, you may not open multiple accounts to simulate or act as a single account or otherwise access Jus Bee in a manner intended to avoid incurring fees.

You should use a permanent email-id for creating an account. Use of temporary email-ids can result in suspension/blocking of your account.
● Your Information
You can create an account using the email id which you may have created on any portal. We only require your name and email address to provide you the best of the services at all times. Apart from this, we do not collect any other data from our users. Our Privacy Policy explains in detail how we treat your personal data and protect your privacy while you use the Site/the App.

● Material uploaded on Jus Bee
If you submit any material to Jus Bee or to any of the contractors, teachers, instructors, employees, agents or any other person engaged by Jus Bee, or otherwise make (or allow any third party to make) material available by means of Jus Bee (any such material, “Material”), You are entirely responsible for the Material, and any harm resulting from, that Material. That is the case regardless of whether the Material in question constitutes text, graphics, an audio file, or computer software. By making Material available, you represent and warrant that:
○ the uploading, downloading, copying and use of the Material is in compliance with these Terms and the law for the time being in force;
○ the uploading, downloading, copying and use of the Material will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
○ the Material does not contain or installs any viruses, worms, malware, Trojan horses or other harmful or destructive content;
○ the Material is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
○ the Material is not pornographic, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;
○ your Material is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, other blogs and websites, and similar unsolicited promotional methods; and
○ you have, in the case of Material that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by Jus Bee or otherwise.
Breach of the terms under this head shall lead to prosecution to the maximum extent of the law

● Copyright Infringement
As Jus Bee asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by Jus Bee violates your copyright, you are encouraged to notify Jus Bee by sending an email to feedback@Jusbee.app. Jus Bee will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Jus Bee will terminate a visitor’s access to and use of Jus Bee if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Jus Bee or others. In the case of such termination, Jus Bee will have no obligation to provide a refund of any amounts previously paid to Jus Bee.

● Intellectual Property
These Terms and Conditions does not transfer from Jus Bee to you any Jus Bee or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Jus Bee. Trademarks, service marks, graphics and logos used in connection with Jus Bee may be the trademarks of respective parties. Your use of Jus Bee does not grant you any right or license to reproduce or otherwise use any Jus Bee or third-party trademarks. You agree not to use, reproduce or distribute the intellectual property of Jus Bee or third-party trademarks in any way.

● Changes
Jus Bee reserves the right, at its sole discretion, to modify or replace any part of these Terms and Conditions. It is your responsibility to check these Terms and Conditions periodically for changes. Your continued use of or access to Jus Bee following the posting of any changes to this Terms and Conditions constitutes acceptance of those changes. Jus Bee may also, in the future, offer new services and/or features through Jus Bee (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of theseTerms and Conditions.

● ASSUMPTION OF RISK
You acknowledge and agree that any information posted on Just Bee is not intended to be any sort of legal advice, or medical advice or any other form of professional advice. You agree that no fiduciary relationship is formed between Just Bee and you. You further agree that your usage of Just Bee is at your own risk. Just Bee, its owners or its employees do not assume responsibility or liability for any advice or other information given on Just Bee.
● Termination
Termination by you: You may stop using or deactivate or delete your account from Jus Bee at any time you desire. By deleting your account, you lose all the Content accessed by you on Jus Bee.
Termination or suspension by us: We may suspend or terminate your access to all or part of Jus Bee if: (a) you materially or repeatedly breach these Terms and Conditions; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we reasonably believe there has been conduct that creates liability or harm to any user, other third party, ourselves, or our Affiliates. We may terminate your access, or your account’s access to all or part of Jus Bee in a situation of change in services if we reasonably believe that our provision of the service to you is no longer commercially viable.
Effect of suspension or termination: On suspension or termination of the account, you shall not be able to login using the same account or access the Content which had been previously accessed by you.

● Disclaimer
WE ARE NOT MEDICAL PROFESSIONALS. WE ARE NOT LICENSED TO GIVE ANY MEDICAL ADVICE. ANY INFORMATION PROVIDED ON JUS BEE IS NOT INTENDED TO BE TAKEN AS A REPLACEMENT FOR MEDICAL ADVICE AND IS MEANT FOR RECREATIONAL PURPOSES ONLY. IF YOU HAVE A CONDITION THAT REQUIRES MEDICAL ATTENTION PLEASE CONSULT A PHYSICIAN. ALL INFORMATION ON JUS BEE IS FOR YOUR PRIVATE USE AND INFORMATIONAL AND RECREATIONAL PURPOSES ONLY. RELIANCE ON THE CONTENT AT JUS BEE OR ANY OTHER INFORMATION PROVIDED BY JUS BEE OR ANY OF ITS EMPLOYEES, OFFICERS, CONTRACTORS, AGENTS OR OTHERS PROVIDING CONTENT ON JUS BEE, VERBALLY, VIA EMAIL, OR IN-PERSON CONVERSATION IS SOLELY AT YOUR OWN RISK.
JUS BEE EMPLOYEES, ITS CONTRACTORS, AND ITS LICENSORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS CANNOT GUARANTEE THAT THE CONTENT, E.G., REMEDIES, ARE SAFE AND PROPER FOR EVERY INDIVIDUAL. FOR THAT REASON, INFORMATION IS MADE AVAILABLE WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND. ANY LIABILITY, LOSS OR DAMAGE IN CONNECTION WITH CONTENT, INCLUDING BUT NOT LIMITED TO ANY LIABILITY, LOSS OR DAMAGE RESULTING FROM THE APPLICATION OF THE CONTENT, OR THE ADVICE AND INFORMATION GIVEN HERE, IS EXPRESSLY DISCLAIMED AND JUS BEE SHALL NOT BE HELD LIABLE FOR ANY LOSS / DAMAGE CAUSED DUE TO ITS CONTENT.

● Disclaimer of Warranties
Jus Bee is provided “as is”. Jus Bee and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Jus Bee nor its suppliers and licensors, makes any warranty that Jus Bee will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain Content or services through, Jus Bee at your own discretion and risk. The Content posted to Jus Bee may be deleted or modified permanently due to software, hardware, or operator error.

● Limitation of Liability
IN NO EVENT WILL JUS BEE, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS AND CONDITIONS UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; (IV) FOR LOST PROFITS OR REVENUES; LOSS OF OPPORTUNITY OR ANTICIPATED SAVINGS; INDIRECT OR CONSEQUENTIAL LOSSES, OR PUNITIVE DAMAGES (IN ALL CASES WHETHER SUCH LOSSES WERE FORESEEABLE OR NOT) ; OR (V) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO JUS BEE UNDER THESE TERMS AND CONDITIONS DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION. JUS BEE SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND THEIR REASONABLE CONTROL.

● General Representation and Warranty
You represent and warrant that (i) your use of Jus Bee will be in strict accordance with the Jus Bee Privacy Policy, with these Terms and Conditions and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content) and (ii) your use of Jus Bee will not infringe or misappropriate the intellectual property rights of any third party.
Just Bee (directly or through any other person operating Just Bee) hereby expressly disclaims any and all express or implied warranties of any kind. Just Bee or any person engaged in operating Jus Bee makes no warranties on the reliability or accuracy of any information on Just Bee. Just Bee or any person engaged in operating Just Bee makes no warranty that Just Bee services will be uninterrupted, error free or secure. You agree that any damage that may occur to you through your computer system or mobile or as a result of loss of your data form your own use of Just Bee is your sole responsibility and that Just Bee or any person engaged in operating Just Bee is not liable for any such damage or loss.

● Feedback
We welcome feedback, comments and suggestions for improvements to the Services or Products. You can submit Feedback by emailing us at feedback@jusbee.app. Any feedback, comments, ideas, reports, concepts, and know-how (collectively “feedback”) that you provide to Jus Bee shall be deemed to be non-confidential. Jus Bee shall be free to use such information on an unrestricted basis.

● Indemnification
You agree to indemnify and hold harmless Jus Bee, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of Jus Bee, including but not limited to your violation of these Terms and Conditions. Jus Bee’s right to be indemnified shall survive the expiry of termination of these Terms and Conditions.

● Severability
If any provision of the Terms and Conditions is held to be invalid or unenforceable, then such provision shall (so far as it is invalid or unenforceable) be given no effect and shall be deemed not to be included in the Terms and Conditions but without invalidating any of the remaining provisions of the Terms and Conditions.

● Refunds

● Miscellaneous
These Terms and Conditions constitutes the entire agreement between Jus Bee and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Jus Bee, or by the posting by Jus Bee of a revised version.
Except to the extent of applicable law, if any, provides otherwise, these Terms and Conditions shall be governed by the laws of India, excluding its conflict of law provisions, and the Courts at New Delhi shall have the exclusive jurisdiction. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond),
Any dispute arising out of or in relation to these Terms and Conditions shall be finally settled in accordance with the provisions of the Arbitration and Conciliation Act, 1996 by an arbitrator appointed in accordance with such Rules. The arbitration shall take place in New Delhi, in the English language and the arbitral decision may be enforced terms of the Arbitration and Conciliation Act, 1996.
A waiver by either party of any Terms and Conditions or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You shall not assign your rights under these Terms and Conditions to any party without prior consent of Jus Bee. Jus Bee may assign its rights under this Agreement without condition. These Terms and Conditions will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
